TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (the “Agreement”) govern your access to and use of the website located at waterhub.co (the “Website”), which is owned and operated by WATERHUB INC. (“WATERHUB,” “we,” “us,” or “our”). By accessing or using the Website, you (“you” or the “User”) acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms and conditions, you are prohibited from accessing or using the Website.
PLEASE READ THIS AGREEMENT CAREFULLY AS IT CONTAINS A DISPUTE RESOLUTION CLAUSE THAT AFFECTS YOUR LEGAL RIGHTS AND REMEDIES.
1. Governing Law and Jurisdiction
This Agreement and your use of the Website shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any disputes arising out of or relating to this Agreement or your use of the Website.
2. Intellectual Property Rights
All content displayed on and made available through the Website, including but not limited to text, graphics, images, photographs, videos, audio, logos, trademarks, service marks, documents, downloadable files, software, and the design and arrangement thereof (collectively, the “Content”), is the exclusive property of ewhfiltration.com, WATERHUB INC., its licensors, or the Website’s creators and is protected by copyright, trademark, and other intellectual property laws under the laws of Canada and other applicable jurisdictions.
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Website and the Content solely for your personal, non-commercial use. You shall not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content without the prior written consent of WATERHUB INC. or the respective intellectual property owner, except as expressly permitted by this Agreement or applicable law.
3. Age of Majority
The Website is intended for use by individuals who have reached the age of majority in their jurisdiction. In Ontario, the age of majority is eighteen (18) years. By using this Website, you represent and warrant that you are at least 18 years of age. We do not knowingly collect personal information from individuals under the age of 18. We disclaim all liability for any misrepresentation of age by users.
4. User Accounts
4.1. Account Creation and Responsibility: To access certain features or services offered on the Website, you may be required to create a user account. When creating an account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You agree to notify us immediately of any unauthorized access to or use of your account.
4.2. Information Accuracy: You represent and warrant that all personal information you provide to us through your account is and will remain true, accurate, and up-to-date. You are obligated to promptly update your personal information if any changes occur.
4.3. Account Suspension or Termination: WATERHUB INC. reserves the right, in its sole discretion and without prior notice or liability, to suspend or terminate your account and/or your access to the Website for any reason, including but not limited to: (a) any unauthorized or illegal use of the Website; (b) any breach of this Agreement; or (c) any conduct that we deem harmful to the Website, other users, or our business interests.
5. Sale of Goods and Services
5.1. Governing Terms: These Terms and Conditions also govern the sale of goods and services offered for sale on the Website. All orders for services are subject to prepayment in full at the time of order placement.
5.2. Product and Service Information: All information, descriptions, and images of goods and services displayed on the Website are provided for informational purposes only and are intended to be as accurate as reasonably possible. However, to the maximum extent permitted by applicable law, WATERHUB INC. does not warrant that such information, descriptions, or images are complete, accurate, reliable, current, or error-free. You acknowledge that there may be variations in the goods and services as depicted on the Website. All purchases are made at your own risk.
5.3. Order Acceptance and Cancellation: Your placement of an order constitutes an offer to purchase the goods or services. WATERHUB INC. reserves the right, in its sole discretion, to accept, reject, or cancel your order at any time, including after you have submitted your order and paid for the goods or services. If we cancel your order after processing your payment, we will issue a refund to the original payment method in the amount of the purchase price. You agree that it is your responsibility to monitor your payment instrument for the receipt of any such refund.
5.4. Third-Party Goods and Services: The Website may provide links to or information about goods and services offered by third parties. WATERHUB INC. does not endorse, warrant, or assume any responsibility or liability for the quality, accuracy, safety, reliability, or legality of any third-party goods or services. Your interactions with third parties are solely between you and the third party and are subject to their respective terms and conditions and privacy policies.
6. Payments
6.1. Payment Methods: We accept the payment methods specified on the Website, which may include credit cards and debit cards.
6.2. Authorization: By providing your payment information, you authorize us (or our third-party payment processor) to charge the applicable amount to your chosen payment instrument for the goods or services you purchase. You represent and warrant that you have the legal right to use the payment instrument you provide.
6.3. Payment Errors and Disputes: If you believe that a payment made to us is incorrect, you must notify us promptly. We reserve the right to cancel or reverse any transaction if we suspect that the payment is fraudulent, unauthorized, or otherwise in violation of applicable law or this Agreement.
7. Shipping and Delivery of Goods
7.1. Delivery Methods and Timing: The delivery of goods purchased through the Website will be facilitated through the delivery methods indicated at the time of purchase. Delivery timelines provided are estimates only and may range from 1 to 14 business days. Delivery times do not include weekends or statutory holidays. WATERHUB INC. will use commercially reasonable efforts to ensure timely delivery; however, we are not liable for delays due to unforeseen circumstances or events beyond our reasonable control.
7.2. Delivery Charges: You are responsible for paying the delivery charges specified at the time of purchase, in addition to the price of the goods.
7.3. International Shipments: If you order goods for delivery to a destination outside of Canada, your purchase may be subject to import duties, taxes, and other fees imposed by the destination country. You are solely responsible for the payment of any such duties, taxes, and fees. Please consult with your local customs office for information regarding potential charges before placing your order. WATERHUB INC. is not responsible for the payment of these charges and shall not be liable for your failure to pay them.
7.4. Accurate Delivery Information: You are responsible for providing us with a complete and accurate delivery address and the correct recipient name. WATERHUB INC. shall not be liable for any loss, damage, or misdelivery of goods resulting from your provision of inaccurate or incomplete delivery information.
8. Consumer Protection
In Ontario, the Consumer Protection Act, 2002, S.O. 2002, c. 30, and other applicable consumer protection legislation provide consumers with certain rights and remedies that cannot be excluded or limited by this Agreement. To the extent that such legislation applies to your transactions with WATERHUB INC. and cannot be excluded, the provisions of this Agreement shall be interpreted to comply with such legislation, and in the event of any conflict, the mandatory provisions of the legislation shall prevail. This Agreement is subject to these mandatory provisions and will not operate to limit your legal rights and remedies thereunder.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE CONSUMER PROTECTION ACT, 2002 (ONTARIO), WATERHUB INC., ITS DIRECTORS, OFFICERS, AGENTS, EMPLOYEES, SUBSIDIARIES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, ANY CONTENT THEREON, OR ANY GOODS OR SERVICES PURCHASED THROUGH THE WEBSITE, EVEN IF WATERHUB INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE CAUSE OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
10. Indemnification
Except to the extent prohibited by applicable law, including the Consumer Protection Act, 2002 (Ontario), you agree to indemnify, defend, and hold harmless WATERHUB INC., its directors, officers, agents, employees, subsidiaries, and affiliates from and against any and all actions, claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Website; (b) your violation of this Agreement; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit, post, or transmit through the Website. This indemnification obligation shall survive the termination of this Agreement and your use of the Website.
11. Dispute Resolution
11.1. Informal Dispute Resolution: If a dispute arises between you and WATERHUB INC., we encourage you to first contact us directly to seek a resolution through informal discussions.
11.2. Arbitration: Subject to the exceptions set forth in Section 11.3, any dispute arising out of or relating to this Agreement or your use of the Website that cannot be resolved through informal discussion shall be submitted to binding arbitration in accordance with the Arbitration Act, 1991, S.O. 1991, c. 17 (Ontario). The arbitration shall take place in Toronto, Ontario, unless otherwise agreed upon in writing by both parties. The arbitrator shall be a neutral party mutually agreeable to both you and WATERHUB INC. If the parties cannot agree on an arbitrator, a single arbitrator shall be appointed by a court of competent jurisdiction in Ontario. The decision of the arbitrator shall be final and binding upon both parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
11.3. Exceptions to Arbitration: Notwithstanding Section 11.2, you and WATERHUB INC. each retain the right to: (a) bring an individual action in the Small Claims Court of Ontario for claims within its monetary jurisdiction; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction in Ontario with respect to any actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.
12. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been a part of this Agreement. The parties shall endeavor in good faith to replace the severed provision with a valid and enforceable provision that achieves, to the greatest extent possible, the original intent of the severed provision.
13. Relocation of Filtration Systems
In the event that the Customer requests the relocation of filtration equipment from its current location to a new location, the following terms and conditions shall apply:
13.1. Compatibility and Compliance Verification: Prior to providing a quotation for relocation services, WATERHUB INC. shall assess the compatibility of the equipment with the new location, including but not limited to physical space, utility connections, and operational requirements. The Customer shall provide all necessary information and access to the new location to facilitate this assessment. This assessment will also include a review to ensure that the filtration system installation at the new location will comply with all applicable standard by-laws, rules, and regulations in the relevant jurisdiction.
13.2. Uninstallation Fee: A non-refundable uninstallation fee of $399.99 CAD per filtration system will be charged for the removal of the equipment from the existing location.
13.3. Installation Fee: Subject to the successful compatibility verification and regulatory compliance assessment, a discounted installation fee of $149.99 CAD per unit will be applied for the installation of the equipment at the new location, where such installation is deemed necessary and feasible by WATERHUB INC.
13.4. Transportation Fees: Move-out packages, which include the transportation of the filtration system(s) to the new location, may be subject to additional transportation fees. The amount of these fees will be determined based on factors such as the distance between the existing location and the new location, the size and weight of the equipment, and any special handling requirements. A separate quotation for transportation fees, if applicable, will be provided to the Customer.
14. Buyback Program
Our Buyback Program allows eligible customers to return their used equipment subject to the following terms and conditions:
14.1. Eligibility Requirements: To be eligible for the Buyback Program, customers must meet all of the following conditions:
a. Ownership: The customer must be the sole and rightful owner of the equipment being returned and not subject to any lease, loan, or other encumbrance.
b. Age of Product: The equipment being returned must be less than five (5) years old from the original date of purchase. The customer may be required to provide proof of the original purchase date.
c. New Purchase: The customer must be purchasing a new filtration system directly from WATERHUB INC. at the time of the buyback request. The buyback offer is contingent upon the purchase of a new product.
14.2. Proof of Purchase: To participate in the Buyback Program, the original receipt or other valid proof of purchase for the unit being returned is mandatory and must be provided at the time of the buyback request.
14.3. Buyback Value: The maximum buyback value offered is forty percent (40%) of the original purchase price of the unit, as evidenced by the proof of purchase. The final buyback amount will be determined based on the amount paid as shown on the provided receipt and the condition of the equipment.
14.4. Buyback Fee: A non-refundable buyback processing fee of one thousand dollars ($1000.00) CAD will be charged for each unit returned under the Buyback Program. This fee covers transportation, inspection, disposal, and administrative costs associated with the return process.
14.5. Condition of Equipment: The equipment being returned must be in reasonably working condition, exhibiting normal wear and tear. WATERHUB INC. reserves the right to refuse the buyback or to reduce the buyback value if the unit is deemed to be excessively damaged, non-functional, or requires significant repairs.
14.6. Exclusions: The following items are not eligible for the Buyback Program:
a. Units for which valid proof of purchase cannot be provided.
b. Equipment not originally purchased directly from WATERHUB INC. or its authorized sellers or distributors.
c. Units that have been tampered with, altered, or modified from their original condition in a manner that affects their functionality or safety.
d. Equipment that is older than five (5) years from the original date of purchase.
e. Equipment that is not owned outright by the customer (e.g., under a loan or lease agreement).
f. Returns where the customer is not simultaneously purchasing a new filtration system from WATERHUB INC.
14.7. Final Approval: The final decision regarding the eligibility of a unit for buyback and the determined buyback amount rests solely with WATERHUB INC. following an inspection of the returned unit.
14.8. Payment: Upon approval of the buyback, payment of the agreed-upon buyback value, less the applicable buyback fee and any other applicable deductions, will be made to the customer via cheque or direct deposit within fifteen (15) business days.
14.9. Additional Fees: Unless specifically waived in writing by WATERHUB INC., the customer shall be responsible for any additional fees associated with the return of the equipment, such as shipping costs if the customer is responsible for arranging the return shipment.
15. Cancellation Policy
At WATERHUB INC., we strive for clarity and fairness in our cancellation procedures. The following cancellation policy applies to purchases made through the Website:
15.1. Cancellation Request Window: a. For cancellations within the initial twenty-four (24) hours of purchase, you must submit your cancellation request via email to the designated email address provided on the Website. b. For cancellations requested after product installation but within forty-eight (48) hours following installation, you must contact us via email at the designated email address. Such cancellation requests will require a technician’s inspection of the installed product(s) to assess their condition.
15.2. Post-Installation Cancellation Fees: Cancellations made after installation but within the 48-hour window are subject to the following fees: a. Uninstallation Fees: A fee for the uninstallation of the product(s) will apply, the amount of which may vary depending on the type and complexity of the product(s) installed. However, the uninstallation fee will not exceed four hundred dollars ($400.00) CAD per unit. b. Restocking Fees: A restocking fee of a minimum of two hundred and fifty-nine dollars ($259.00) CAD per unit will be charged to cover handling, repackaging, and potential loss of value due to the installation. Additional restocking fees may apply based on the condition of the returned product(s).
15.3. Email Communication: All cancellation requests must be submitted via email to the designated email address provided on the Website within the specified timeframes. The cancellation email must originate from the client’s registered email address associated with the purchase. Cancellation requests from unregistered agents or third-party email addresses will not be accepted.
15.4. Timeline Compliance: Failure to adhere to the cancellation timelines outlined in this policy will result in the cancellation request not being processed. This policy takes into consideration the nature of water and air filtration systems, which become integrated into your property upon installation.

16. Amendments to this Agreement
WATERHUB INC. reserves the right to modify, amend, or update this Agreement at any time, without prior notice, to reflect changes in the law, our business practices, or the features of the Website. The updated version of this Agreement will be posted on the Website, and the “Last Updated” date will be revised accordingly. Your continued use of the Website after any such changes constitutes your acceptance of the revised Agreement. It is your responsibility to review this Agreement periodically for any updates or changes.
